Hyperscale Data, Inc. (NYSE American: GPUS), the Las Vegas-headquartered artificial intelligence data center company, said on October 5, 2026, that it will hold an investor day by virtual broadcast on November 12, 2026, running from 1:15 p.m. to 3:30 p.m. Pacific Time.
AI Data Center Operator to Host Virtual Session Covering Campus Sale, Sentinum IPO Options
The announcement stated that the session will address the progress and expansion of the company's Michigan AI data center campus, the status of its other portfolio businesses, and strategic alternatives aimed at enhancing stockholder value.
Details on how to participate will be provided at a later date, according to the release. Executive Chairman Milton "Todd" Ault III tied the event to the company's central goals. "We are focused on delivering the contracted capacity in our Michigan Campus and turning that investment into cash flow," Ault said.
"Investor Day will also provide an update on the strategic alternatives we are evaluating for the Michigan Campus and our other portfolio businesses. Our objective is to place these businesses in structures that support their development and make their value more identifiable to our stockholders."
Agreement With California Neocloud Provider
The Michigan campus discussion will center on the executed master services agreement with a California-based neocloud provider, identified in company disclosures as the Customer. Under the MSA as previously disclosed, an initial 20 megawatts of critical AI compute capacity is contemplated for deployment. Should the Customer exercise all of its term-extension options along with rights to a further 32 megawatts of critical AI compute capacity, the agreement could produce total contract revenue exceeding USD 3.0 billion across a potential 52-megawatt deployment spanning a 20-year period. Hyperscale Data has previously stated its belief that the Michigan Campus could ultimately accommodate more than 300 megawatts of total power capacity. The company cautioned, however, that developing any capacity beyond the initial 20 megawatts covered by the MSA depends on financing, regulatory approvals, engineering, utility agreements, infrastructure availability, customer demand and other conditions. It stated plainly that there is no assurance additional capacity will be developed, financed, contracted or placed into service.
Strategic Review Considers Campus Disposition, Sentinum Listing and askROI Options
Management anticipates covering the company's evaluation of strategic alternatives, a set of options that includes a potential sale of the Michigan Campus, an initial public offering of wholly owned subsidiary Sentinum, Inc., or continued ownership and development of the campus by the company.
The review also reaches into the askROI subsidiary. Options for askROI under discussion include a potential sale, a strategic partnership or a divestiture, along with the possibility of combining the AI software platform with a broader technology business. The announcement noted that transactions under evaluation could involve equity consideration, which would let Hyperscale Data retain an ownership stake in a combined business and share in its potential upside.
The company stressed that no definitive decision has been made on any of the alternatives under evaluation. Discussions remain preliminary, and no assurances can be given that definitive terms will be agreed upon or lead to a transaction. Any transaction would be subject to further negotiation, due diligence, execution of definitive agreements and applicable corporate and regulatory approvals, including, where applicable, approval by the company's Board of Directors. Hyperscale Data stated there can be no assurance an agreement will be reached or, if reached, that any transaction would be consummated, and that no transaction timetable is assured.
Broad Sector Holdings to Be Reviewed, From Defense to Commercial Lending
A review of the company's portfolio businesses is expected during the event, spanning several sectors: defense; energy and infrastructure; hotel operations and commercial real estate holdings; technology and finance; and commercial lending and trading and activist investing. Management also plans to discuss initiatives within its subsidiaries, including the AI software platform operated by askROI, Inc., and blockchain and digital technology initiatives led by Ault Markets, Inc., another subsidiary.
Company Stands Behind 2027 Guidance
In conjunction with the investor day announcement, Hyperscale Data reaffirmed its preliminary consolidated financial guidance for the year ending December 31, 2027, calling for revenue of $300 million to USD 350 million and consolidated Adjusted EBITDA of USD 60 million to USD 80 million.
The company said the guidance reflects management's current projections based on known and reasonably calculated projections, including current operating plans, anticipated customer deployments, expected financing activities, projected digital-asset initiatives and the anticipated performance of the portfolio businesses.
Hyperscale Data also disclosed that it cannot provide a quantitative reconciliation of projected Adjusted EBITDA to the most directly comparable GAAP measure, net income or loss. Certain components required for that calculation cannot presently be reasonably estimated without unreasonable effort, the company explained, citing future interest expense, income taxes, depreciation and amortization, stock-based compensation, impairment charges, acquisition-related expenses and changes in the fair value of financial instruments. It noted these items are likely to be material to future GAAP results.
