SWI Group Secures $896.28 Million From Institutional Investors to Fund AI Compute Build-Out Across Europe and the United States

SWI Group, the digital infrastructure and AI compute platform listed on Euronext Amsterdam under the ticker SWICH, has completed a USD 896.28 million capital increase with institutional investors. The announcement was made in a press release issued from Singapore and Amsterdam dated October 12, 2026. The fresh equity brings the total capital raised by the company since March 2026 to more than USD 1.12 billion.

Equity Base Expanded to 558,399,385 Shares

The transaction was carried out through the issuance of new ordinary shares in several series. Following the placement, SWI Group's total share capital now stands at 558,399,385 ordinary shares. The company said the offering also broadens its institutional shareholder base, improves market liquidity and lifts its free float to approximately 20% of share capital.

Proceeds Directed at Data Center and Compute Capacity

According to the company, the newly raised funds will be deployed to accelerate the consolidation and expansion of its transatlantic digital infrastructure and AI compute platform spanning Europe and the United States. Planned uses include the development and scaling of data center and AI compute capacity, power infrastructure, compute deployments, and execution of the Group's development pipeline on both sides of the Atlantic.

The capital increase also materially strengthens SWI Group's balance sheet, giving the company additional financial capacity to execute its growth strategy at scale. The company stated this includes further investment in AI and increasing its stake in existing investments.

Chief Executive Points to Compute Market Pace

Max-Hervé George, Founder and Chief Executive Officer of SWI Group, commented on the transaction: "This transaction is about keeping up to speed with the compute and data center markets. We have a clear strategy, a substantial pipeline and a strong position across Europe and the United States. We are very pleased to welcome new investors who share our long-term ambition for the Group."

Options Tied to ECM Milestones

Certain investors participating in the placement were granted options in relation to their shares, conditional on ECM milestones. The announcement did not disclose further details on the structure of these options or the investors receiving them.

Market Abuse Regulation Disclosure

The press release notes that it contains information which is or may constitute inside information within the meaning contemplated by the Market Abuse Regulation (EU) 596/2014.

Rapid Corporate Activity Over the Past Year

The capital increase follows a period of significant corporate development for the Group. In February 2026, SWI Group announced a majority investment in Polarise as it moved into AI compute. The company issued a notification of a transaction by a person discharging managerial responsibilities in the same month, pursuant to Article 19 of the Market Abuse Regulation (EU) No 596/2014. The Group itself was formed earlier, in March 2025, when Icona Capital and Stoneweg created the USD 11.20 billion SWI Group, according to prior announcements listed by the company.

Financial Capacity for Transatlantic Ambitions

With more than USD 1.12billion in equity raised since March 2026 and a free float of approximately 20% of share capital, SWI Group says the latest capital increase provides the financial capacity to pursue its data center and AI compute ambitions across Europe and the United States at scale.
