Vertiv Completes $1.45 Billion Acquisition of Utility Innovation Group to Expand Grid Interconnection Capabilities
Vertiv completes its $1.45 billion acquisition of UtilityInnovation Group, adding microgrid and behind-the-meter power solutions to speed data center time

Vertiv Holdings Co. (NYSE: VRT) said on October 27, 2026, that Vertiv Corporation, its wholly-owned subsidiary, has finalised the purchase of Utility Innovation Holdings, Inc., which does business as UtilityInnovation Group (UIG), for roughly USD 1.45 billion paid upfront in cash.
The deal, first framed as a way to extend Vertiv's reach to the grid interconnect, closes with contingent payments still attached and integration of UIG's microgrid capabilities now set to begin.
Earnout terms and valuation
Beyond the upfront sum, the agreement carries additional contingent consideration of as much as USD 1.15 billion in cash. Those payments become due only if UIG meets certain earnings before interest, taxes, depreciation, and amortisation (EBITDA) targets measured over 12- and 24-month periods.
At the headline price of approximately USD 1.45 billion, Vertiv said the acquisition works out to about 13 times UIG's expected 2027 EBITDA. The company added that this multiple is anticipated to be significantly lower should the full earnout end up being paid.
Vertiv also expects the transaction to be accretive to adjusted earnings per share during the first year after completion.
What UIG contributes to the portfolio
UIG is a leader in microgrid solutions, advanced power controls, and behind-the-meter power architecture design for data centers. Its arrival adds microgrid controls, onsite generation orchestration, and microgrid-specific switchgear to Vertiv's offering, alongside behind-the-meter power architecture.
Vertiv stated that these capabilities extend its power and cooling portfolio from grid interconnect to chip and do so independent of any single generation technology or supplier. The acquisition effectively pushes Vertiv upstream toward the grid interconnect, bringing onsite generation and energy storage orchestration into the fold.
According to the announcement, data center operators are expected to use these capabilities to secure power faster at a time when grid constraints increasingly limit the deployment of AI infrastructure.
Executive commentary on the combination
Vertiv chief executive Giordano Albertazzi welcomed the UIG team to the company. He observed that AI data center operators working to accelerate deployment in an increasingly power-constrained environment now treat access to power as a critical competitive advantage.
With UIG inside Vertiv, he said, the company can extend its capabilities upstream to the utility interconnect and onsite power sources, producing a coordinated solution from behind-the-meter power generation to chip that helps customers reach faster time to power without being tied to one generation technology or supplier.
Sidney Hinton, who founded UIG and serves as its CEO, said the company is excited to advance its mission of solving the power constraints slowing AI data center development.
As part of Vertiv, UIG will be positioned to offer its microgrid and behind-the-meter power expertise to a broader set of customers globally, accelerating deployment of the critical infrastructure needed to support AI growth, he said.
Flexibility promised to customers
Vertiv said the combination is expected to give customers greater flexibility in how they source, manage, and scale power as data center requirements evolve. The company outlined three specific ways that flexibility will materialise.
The first is accelerating access to power, easing or eliminating dependence on utility interconnection timelines; the second is enabling Behind the Meter (BTM) site capacity to scale beyond what the grid alone can deliver; and the third is a single accountable relationship spanning from the grid interconnect through rack-level infrastructure.

J.P. Morgan Securities LLC served as financial advisor to Vertiv, with Buchanan Ingersoll & Rooney PC acting as its legal counsel.
On the UIG side, Morgan Stanley & Co. LLC acted as financial advisor, and Davis Polk & Wardwell LLP served as legal counsel.
