Nebius Group N.V., the Amsterdam-based AI cloud company traded on Nasdaq under the ticker NBIS, has closed a USD 3.5 billion senior secured financing facility arranged by Citi, the company announced on 22 October 2026.
Citi served as the mandated lead arranger, agent, and security agent on the transaction, which the company intends to deploy toward data center development, GPU procurement, and general corporate purposes.
How the deal is structured
The facility runs for 364 days and carries an initial interest rate of Term SOFR plus 2.75% per annum. That margin can step up to a maximum of 3.50% per annum, subject to other adjustments.
The company did not specify a repayment schedule beyond the one-year maturity but framed the proceeds as near-term funding for its expanding infrastructure footprint.
Where the money fits in the funding plan
Nebius positioned the Citi facility as the next move in a strategy to finance its global capacity build-out on attractive terms. According to the company, the deal strengthens a diversified capital structure built on a disciplined balance sheet and gives management greater flexibility over when and how it pursues longer-term financing to fuel growth in 2027 and beyond.
The company said the new credit line complements an existing funding base that combines customer prepayments and operating cash flows. By layering a bank facility on top of those sources, Nebius said it gains room to sequence any future external capital raises around its build-out timetable rather than being forced to the market on a fixed schedule.
What management says it signals
Ophir Nave, Nebius's Chief Operating Officer, said the company is continuing to execute its funding strategy as planned and welcomed the backing of a leading global financial institution. He framed the transaction as evidence of a disciplined approach to managing the balance sheet across the company's portfolio of projects and said it shows Nebius can decide for itself when and how it raises capital to support growth.
"Sequencing our financing is how we optimize our long-term cost of capital," Nave said, noting that the facility adds financing capacity for the company's near-term build-out. He added that Nebius retains access to a range of capital sources for its next phase of growth, including asset-backed financing underpinned by investment-grade customer commitments tied to more than USD 40 billion of long-term contracts.
The company behind the facility
Nebius bills itself as the AI cloud company, operating a full-stack platform for developers and enterprises that spans data and model training through to production deployment. Founded on in-house technological expertise, the company says it operates at scale with a rapidly expanding global footprint, serving startups and enterprises building AI products, agents, and services worldwide.
The group is headquartered in Amsterdam, and its shares trade on Nasdaq under the symbol NBIS.
